The Board of Directors provides governance and strategic oversight for Pathwise Credit Union. Directors work collaboratively with leadership to advance the Credit Union’s mission, ensure accountability, and support long-term sustainability.
Board Responsibilities:

- Uphold fiduciary and governance responsibilities
- Support and evaluate organizational leadership
- Act as ambassadors for the Credit Union’s mission and values
- Participate in key decisions and initiatives

Any individual who meets the eligibility requirements outlined in Pathwise Credit Union’s By-Laws, the Director Election Policy & Procedure, and applicable legislation may be nominated. This includes being a Member in Good Standing and meeting all regulatory and governance criteria.
A nomination must be submitted by one eligible voting Member in Good Standing. Directors may also nominate candidates, provided all eligibility requirements are met.
Yes. Members who meet the eligibility requirements may nominate themselves, provided the nomination is submitted in accordance with the Director Election Policy & Procedure and within the nomination period.
The nomination period for this election cycle is February 2 to February 22. Nominations received outside of this period cannot be accepted.
All nominations are reviewed by the Nomination Committee to confirm eligibility and completeness. This includes verifying membership status and ensuring all required documentation has been submitted. Only candidates who meet all eligibility requirements will be confirmed to stand for election.
Yes. Approved nominees will be notified after the nomination period closes and the eligibility review has been completed by the Nomination Committee.

Yes. As part of the eligibility review process, nominees must consent to criminal background and credit checks. These checks are required to meet regulatory, governance, and fiduciary obligations.
Yes. All nominations and eligibility reviews are handled confidentially by the Nomination Committee and relevant staff, in accordance with Pathwise Credit Union’s policies and privacy requirements.
The number of Directors to be elected is determined annually by the Board of Directors, based on upcoming vacancies and term expirations, in accordance with the Credit Union’s By-Laws.
Voting will take place in accordance with Pathwise Credit Union’s By-Laws and election procedures. Members in Good Standing will be provided with information on how and when to vote once the election process begins.
Election results will be announced at the Annual General Meeting (AGM) and communicated to Members following the meeting.
Successful candidates become Directors effective immediately following the AGM and will be formally onboarded prior to attending their first Board meeting.

Yes. Newly elected Directors receive orientation, onboarding materials, and training to support them in fulfilling their governance and fiduciary responsibilities.
